Terms of service

1. Who we are and what you are agreeing to

Paperswift is operated by Paperswift Solutions, registered in Ontario, Canada ("Paperswift", "we", "us"). These terms are an agreement between you and Paperswift Solutions. They cover the website at paperswift.io, including its interactive demos, and the application at app.paperswift.io (together, the "service"). By using the service you agree to these terms and to our privacy policy. If you do not agree, do not use the service.

You must be old enough to form a binding contract where you live — the age of majority in your province, or 18 in most other places. If you use the service for an organization, you confirm you have authority to accept these terms for it, and "you" includes that organization.

2. The service

Paperswift turns spreadsheet and CSV exports into charts and answers. Computation runs in your browser; asking a question in plain English sends a limited payload to an AI model, described exactly in section 4. We offer free and paid plans; what each includes is listed on the pricing page. We keep improving the service, which means features can change. If we materially reduce what a paid plan includes, we will give you reasonable advance notice and you may cancel before the change takes effect.

3. Your account and acceptable use

Keep your sign-in credentials secure and the information on your account accurate. You are responsible for activity under your account. You agree not to: break the law with the service; upload data you have no right to process; probe, disrupt, or overload the service or bypass its limits; scrape or resell the service; or reverse engineer it except where the law gives you that right regardless of this sentence. We may suspend or close accounts that break this section.

4. Your data

Your files, and the charts and answers made from them, belong to you. You give us only the narrow licence needed to run the service on your behalf, and nothing more.

On the Free and Pro plans your files are processed in your browser and are not uploaded to our servers. On the Teams plan, files you choose to save are stored encrypted with our hosting subprocessor. When you ask a question, the only thing used by the AI model is your column names and whether each column holds text, numbers, or dates — never the values in your rows. The demo on our website sends only your question and the column schema of a public sample dataset.

You are responsible for the data you bring: for having the right to process it, and for complying with the privacy and data-protection laws that apply to it. How we handle personal information is described in the privacy policy, which forms part of these terms.

5. AI-generated answers

Answers, generated queries, and their explanations are produced automatically by an AI model from your question and your column names and types. They can be incomplete, misleading, or wrong, including in ways that are not obvious. Verify any answer before relying on it. The service does not provide financial, accounting, tax, legal, or other professional advice, and answers are not a substitute for professional judgment. Decisions you make based on the service are yours.

6. Plans, billing, and refunds

Current prices are listed on the pricing page. Payments are processed by Stripe; your card details go to Stripe, not to us. Subscriptions renew automatically until you cancel. You can cancel at any time, effective at the end of the current billing period.

Refunds: if you cancel an annual plan within 14 days of first purchasing it, we will refund it in full — email stefan@paperswift.io. Monthly plans are not refunded for partial months. If you are a consumer in the European Union or the United Kingdom, you have a statutory 14-day right of withdrawal from your first purchase; by starting to use a paid plan immediately you acknowledge the service begins before that period ends, and your withdrawal right otherwise stays intact. Nothing in this section limits refund rights your local law gives you.

Prices may change; changes apply from your next renewal, with notice before renewal. Prices exclude applicable taxes, which are added at checkout where we are required to collect them.

7. Intellectual property

The service, site, and their content (excluding your data) belong to Paperswift Solutions or its licensors. These terms give you no rights in them beyond the use they describe. If you send us feedback or suggestions, we may use them without obligation to you.

8. Third-party services

The service depends on third parties — hosting, payment processing, and AI model providers among them. Their availability is not within our control, and section 10 applies to interruptions they cause.

9. Warranties

The service is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties or conditions, express or implied, including fitness for a particular purpose, merchantability, and non-infringement, and we do not warrant that the service will be uninterrupted, error-free, or that answers will be accurate. Some jurisdictions, including for Canadian and EU consumers, do not allow certain warranties to be excluded; where that is the case, those warranties apply to the minimum extent the law requires.

10. Limitation of liability

To the maximum extent permitted by law, Paperswift Solutions will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, however caused and under any theory of liability, even if advised of the possibility. To the same extent, our total liability for all claims arising out of or relating to the service is capped at the greater of the amounts you paid us in the 12 months before the event giving rise to the claim and CAD $50.

Nothing in these terms excludes or limits liability that cannot be excluded by law, including for fraud, gross negligence, or death or personal injury caused by negligence.

11. Indemnification

You will indemnify Paperswift Solutions against third-party claims, and the reasonable costs of defending them, to the extent they arise from data you processed with the service without the right to do so, or from your breach of these terms. This obligation applies to the extent your local law allows it to be imposed on you.

12. Your consumer rights are not waived

If you are a consumer, the law where you live may give you rights that cannot be taken away by contract — under Ontario's Consumer Protection Act, EU and UK consumer law, and similar statutes elsewhere. Nothing in these terms removes those rights, and where a term here conflicts with them, the law prevails for you.

13. Termination

You can stop using the service at any time, and can have your account deleted by emailing stefan@paperswift.io. We may suspend or terminate your access if you materially breach these terms, with notice where practicable. On termination, your paid plan runs to the end of its period (subject to section 6), and stored data is handled as the privacy policy describes. Sections that by their nature survive — including 4, 5, 9, 10, 11, and 15 — survive.

14. Changes to these terms

We may update these terms. For material changes we will give at least 14 days' notice by email or in the app before they take effect, and the "last updated" date above will change. If you keep using the service after that, the new terms apply; if you do not agree, cancel before they take effect and section 6 governs any refund.

15. Governing law and disputes

These terms are governed by the laws of Ontario, Canada and the federal laws of Canada that apply there, and disputes will be resolved in the courts of Ontario. If you are a consumer whose local law lets you bring claims in your home courts or under your home law, this section does not take that away.

16. General

These terms and the privacy policy are the entire agreement between us about the service. If a court finds part of them unenforceable, that part is limited to the minimum extent necessary and the rest stands — this matters, and we mean it. Not enforcing a term is not a waiver of it. You may not assign this agreement without our consent; we may assign it as part of a sale or reorganization of the business. Neither of us is liable for delay or failure caused by events beyond reasonable control. You agree not to use the service in violation of Canadian export-control or sanctions law.
